The Pyth Express Relay service ("Express Relay") is available on Pyth Network ("Pyth") on an "AS IS," "WITH ALL FAULTS," and "AS AVAILABLE" basis, without any warranties or representations of any kind, whether express, implied, statutory, or otherwise, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or availability.

Pyth DAO LLC, Pyth Data Association, including their respective officers, directors, employees, consultants, equityholders, members, representatives, other agents, as well as contributors to Pyth, expressly disclaim any guarantee that Express Relay will be uninterrupted, error-free, secure, or free from delays, outages, or inaccuracies in the provision of quotes for transactions.

Definitions

• "Searchers" refers to users of Express Relay who submit Quotes (as defined below) via Express Relay, which are then made available to Protocols (as defined below) for potential execution. They are responsible for managing and canceling their Quotes as needed.

• "Protocols" refers to decentralized applications (dApps), protocols or platforms, built on their respectie blockchains, that integrate with Express Relay to receive Quotes from Searchers, validate them, and execute transactions based on the most suitable Quotes. Protocols manage the signing of transactions and ensure their correctness.

• "End Users" refers to individuals or entities who interact with Protocols to execute transactions through the Protocol's frontend, without direct engagement with Express Relay. They depend on Protocols for accurate representation of Quotes and transaction outcomes.

• "Users" collectively refers ****to Searchers, Protocols and End Users.

• "Quotes" refers to proposed terms submitted by Searchers for asset swaps, represented as transaction instructions that, when executed, result in transactions on Protocols’ smart contracts, subject to verification and execution solely by Protocols and/or their underlying blockchains.

For Searchers

Searchers acknowledge and accept all risks associated with the use of Express Relay, including but not limited to:

• Loss of funds due to vulnerabilities in smart contracts or APIs of Express Relay;

• Losses from Users delaying execution of transactions until Quotes become profitable due to market movements;

• Delays or failures in quote submission due to blockchain transaction latencies, network congestion, or API issues;

• Security vulnerabilities in smart contracts or APIs of Protocols and/or their underlying blockchains, potentially compromising quote integrity; and

• The responsibility to actively monitor and manage their Quotes, understanding that Express Relay does not guarantee profitability or execution of transactions. Quotes are provided to Protocols, which have sole discretion over selection and execution of transactions.

For Protocols

Protocols acknowledge and accept the following:

• Express Relay provides Quotes, which are viewable and verifiable by the Protocol's frontend. It is the sole responsibility of the Protocol to validate and ensure the correctness of such Quotes before execution of any transactions; and

• Protocols are responsible for implementing additional measures to mitigate risks associated with Express Relay, including but not limited to:

  • Verifying the transaction details to ensure they match the intended operation;

  • Monitoring the reliability and performance of Searchers and Express Relay;

  • Conducting thorough testing and validation of smart contract and frontend integrations to ensure robustness against errors, exploits, or vulnerabilities;

  • Implementing circuit breakers and error-handling mechanisms to manage quote disruptions, blockchain latency, or network congestion; and/or

  • Ensuring compliance with applicable laws, including Anti-Money-Laundering, securities, and data privacy regulations, for facilitating swaps in permitted jurisdictions.

Protocols acknowledge additional risks, including:

• Interruptions in quote availability due to blockchain forks, outages, or Searcher API failures;

• Security vulnerabilities in smart contracts or frontends, risking swap reliability;

• Potential unavailability or discontinuation of Express Relay without prior notice; and/or

• Regulatory liability for facilitating swaps in restricted jurisdictions.

For End Users

While End Users may not directly interact with Express Relay, they acknowledge the following:

• The accuracy of the representation of Quotes and transactions is the sole responsibility of the Protocol's frontend. Any misrepresentation or errors in the Protocol's frontend are the sole responsibility of the Protocol, not Express Relay.

• End Users should be aware of the risks associated with using Protocols and should exercise due diligence before executing transactions, including reviewing Protocol terms and frontend reliability.

• End-Users acknowledge additional risks, including:

  • Inability to execute swaps due to Searchers canceling Quotes amid adverse price movements;

  • Delays or failures in swap execution caused by blockchain latency, network congestion, or Protocol smart contract issues;

  • Security risks from Protocol smart contract or frontend vulnerabilities, potentially leading to swap failures; and/or

  • Unavailability of swaps in prohibited jurisdictions due to regulatory restrictions.

Neither Pyth DAO LLC, Pyth Data Association, including their respective officers, directors, employees, consultants, equityholders, members, representatives, other agents, as well as contributors to Pyth, shall be liable for any claims, liabilities, losses, costs, or damages, including direct, indirect, punitive, incidental, special, or consequential damages, arising out of or in connection with the use of or inability to use Express Relay, whether based on contract, tort, strict liability, or any other legal theory. This includes, but is not limited to, financial losses resulting from reliance on terms and functionality of services in Protocols.

Users are solely responsible for implementing additional measures to mitigate risks associated with Express Relay, including but not limited to:

• Consulting the Pyth documentation (https://docs.pyth.network/express-relay) for guidance on integrating and securing Express Relay;

• Monitoring the performance and reliability of the Express Relay and its associated components; and/or

• Conducting regular audits and updates to ensure the security and integrity of their integrations.

By using Express Relay, Users acknowledge that they have read, understood, and agreed to this disclaimer and assume full responsibility for any risks or losses incurred.

Pyth DAO LLC reserves the right to modify or discontinue Express Relay at any time without prior notice.
